These Terms and Conditions are provided to the Client as an attachment to each commercial proposal, of which they form an integral part, and are permanently available at www.craftdp.com. They apply to each Order accepted by CRAFT, without prejudice to the specific conditions set out in the commercial proposal or order confirmation, in accordance with clause 1.3.

1. Scope, definitions and contractual hierarchy
1.1. For the purposes of these Terms and Conditions, “CRAFT” means Serenity Approach, Lda., trading under the CRAFT Dream Productions brand; “Client” means the professional entity entering into the contract; “Order” means each project, supply or service accepted by CRAFT; and “Goods” includes furniture, joinery elements, upholstery, metal, glass, stone, lighting and other components manufactured or supplied under the Order.
1.2. These Terms apply to proposals, technical development, prototyping, bespoke manufacturing, supply, transport where contracted, installation where contracted, and any other associated services.
1.3. In the event of any conflict, the following order of precedence shall apply: (i) specific conditions expressly agreed in writing in the proposal/order confirmation; (ii) approved drawings, specifications and samples; (iii) these Terms and Conditions. The Client’s general terms and conditions contained in purchase orders, portals, standard-form contracts or other documents shall not bind CRAFT unless expressly accepted in writing by an authorised representative of CRAFT. The issue of an order confirmation, invoicing or commencement of performance by CRAFT shall not constitute acceptance of such terms.
1.4. No obligation, penalty, SLA, retention, liquidated damages, back-charge, extended warranty or other condition existing between the Client and its own client, operator, contractor, designer or any third party shall be deemed automatically passed through to CRAFT.

2. Proposals, prices and formation of the Order
2.1. Unless otherwise stated, proposals are valid for 30 days and are based exclusively on the information, drawings, quantities, finishes, standards and conditions made available as at the date of the proposal.
2.2. Prices are stated in euros unless otherwise indicated and exclude VAT, taxes, customs duties, import charges, transport, installation, on-site works, lifting equipment, storage, special insurance, testing or certification, except where expressly included.
2.3. An Order shall be deemed accepted only after (i) written acceptance of the proposal by the Client, with express reference to these Terms and Conditions, (ii) written confirmation by CRAFT, and (iii) receipt of the agreed initial payment in cleared funds. Acceptance by email or through an electronically identifiable platform shall constitute written acceptance. The initial payment is a payment on account of the price and for the mobilisation of resources for the project and shall not constitute earnest money unless expressly agreed in writing. CRAFT may apply the initial payment against any amounts due to it under clauses 3.7 and 4.
2.4. Quantities, dimensions, materials, finishes or requirements not duly identified in the initial proposal shall be subject to an additional quotation. Errors, omissions or inconsistencies in documentation supplied by the Client that affect the scope may result in a revision of price and lead time.

3. Payments, late payment and retention of title
3.1. As a standard commercial reference, CRAFT operates on the basis of a 50% initial payment and 50% prior to dispatch or collection. However, each Order may provide for a different payment schedule, including milestone payments, in which case the proposal/order confirmation shall prevail. Unless a different period is stated in the proposal, each invoice must be paid within 10 days of notification to the Client.
3.2. CRAFT may suspend development, procurement, production, delivery or installation for so long as any due amount remains unpaid. Any such suspension shall result in a corresponding revision of the project schedule and shall not constitute delay attributable to CRAFT.
3.3. In the event of late payment in commercial transactions, the statutory commercial late-payment interest shall be due, together with the statutory minimum compensation for recovery costs and any additional reasonable costs demonstrably incurred.
3.4. Title to the Goods shall remain with CRAFT until all amounts due in respect of the relevant Order have been paid in full, without prejudice to risk passing at an earlier time in accordance with the applicable Incoterm or delivery condition. Until payment in full, the Client may not sell or encumber the Goods and must keep them identifiable as CRAFT’s property; in the event of default, CRAFT may require their return in accordance with applicable law, and the Client shall provide the access necessary for their recovery.
3.5. The existence of a claim shall not automatically suspend payment of undisputed amounts. Any withholding of payment in respect of an alleged non-conformity must be proportionate to the value reasonably affected and exercised only to the extent permitted by law.
3.6. If, between the date of the proposal and the Production Release Date (clause 8.3), the cost of raw materials or components specific to the Order increases by more than 5%, as evidenced by CRAFT with supplier documentation, CRAFT may revise the price to reflect the increase actually incurred, by giving the Client written and reasoned notice. If the revision exceeds 10% of the total Order value, the Client may terminate the contract by written notice given within the following 5 business days, in which case the initial payment shall be refunded less the value of work performed and costs demonstrably incurred up to that date. Following the Production Release Date, the price shall not be revised on this basis.
3.7. If any due amount remains unpaid for 30 days after its due date, CRAFT may serve notice on the Client requiring payment within an additional period of 8 days, failing which the Order may be terminated. If payment is not made within that additional period, CRAFT may terminate the Order by written notice, retain the amounts received, claim the amounts provided for in clauses 4.4 and 4.5 and freely dispose of the Goods, deducting from the amount outstanding any net proceeds obtained from them.

4. Cancellation, suspension and termination at the Client’s initiative
4.1. Given the bespoke nature of the manufacturing process, each Order is planned specifically for the Client and, from the moment of confirmation, involves technical resources, reservation of production capacity, procurement and commitments to suppliers.
4.2. The Client may cancel the Order by written notice within 48 hours following confirmation of the Order and receipt of the initial payment.
4.3. If the Order is cancelled within that 48-hour period, CRAFT may retain a cancellation fee of up to 10% of the total Order value, having regard to the technical and administrative work already carried out, mobilisation and reserved capacity, plus any third-party costs specifically incurred where those costs are not already reflected in that fee.
4.4. After the 48-hour period has elapsed, the Client may withdraw from the Order by written notice pursuant to Article 1229 of the Portuguese Civil Code, in which case the Client shall compensate CRAFT for work carried out, materials purchased or committed, supplier and demobilisation costs, and the profit that CRAFT would have derived from the Order. The parties agree such compensation, without prejudice to CRAFT proving greater loss, at the following amounts calculated on the total Order value: (i) before the Production Release Date, 25%; (ii) after the Production Release Date but before manufacturing begins, 50%; (iii) after manufacturing begins, as provided in clause 4.5.
4.5. Where manufacturing has already begun, materials have been processed or specifically purchased, or the Goods are wholly or substantially unsuitable for reuse or resale, the amount due upon withdrawal may reach 100% of the Order value, less any costs that CRAFT demonstrably no longer has to bear and any net amount reasonably recovered from the Goods.
4.6. Requests for temporary suspension at the Client’s initiative are subject to CRAFT’s written acceptance and may result in invoicing for work performed, storage costs, rescheduling, remobilisation and revisions to the time schedule and price.

5. Technical development, versions, approvals and changes
5.1. Unless otherwise stated in the proposal, the price includes the initial issue of the technical/shop drawings and up to two rounds of revisions requested by the Client, corresponding to a maximum of three issued versions. Correction of errors attributable to CRAFT shall not count as a Client-requested revision.
5.2. Further revisions, or changes to concept, dimensions, materials, hardware, finishes, quantities or specifications after those three versions, may be charged as additional technical development and may result in a revised schedule.
5.3. Production shall only be released once, as applicable, the following conditions have been satisfied: the proposal has been accepted by the Client in accordance with clause 2.3; amounts due have been paid; technical drawings have been approved; samples, finishes and materials have been validated; complete technical information has been provided; COM/COL and other Client-supplied materials have been received; and any other approvals identified in the proposal have been obtained.
5.4. Approvals by email or through an electronically identifiable platform shall constitute written approvals. Approval of drawings and samples confirms that the Client accepts the dimensions, configuration, appearance, materials and finishes represented therein, except for technical errors attributable to CRAFT.
5.5. Any change following final approval is subject to technical feasibility and the stage of production and shall only be implemented by means of a Change Order, or equivalent written confirmation, setting out the corresponding impact on price and schedule. CRAFT may suspend the affected work until the Change Order is approved.

6. Client information, measurements and design responsibility
6.1. Where CRAFT manufactures on the basis of measurements, drawings, CAD files, specifications or instructions supplied by the Client or by third parties appointed by the Client, the Client is responsible for the accuracy, completeness and consistency of such information. CRAFT shall not be liable for incompatibilities, failure to fit or rework caused by incorrect, incomplete or outdated information supplied by the Client.
6.2. Where CRAFT carries out a site survey or measurement, it shall be responsible for exercising due care in the measurements taken under the conditions existing and accessible at the time of the visit. The Client must notify CRAFT of any subsequent changes to the works, floors, finishes, walls, ceilings, technical installations, access routes or other relevant elements.
6.3. Unless expressly contracted otherwise, CRAFT drawings are production/shop drawings and do not replace architectural, structural engineering, specialist services or statutory certification documents for which the relevant designers and consultants remain responsible.
6.4. The Client is responsible for confirming that the intended design is suitable for its purpose, place of use, loads, circulation, accessibility and regulatory requirements that have not been expressly entrusted to CRAFT.

7. Materials, samples, COM/COL and natural variations
7.1. Samples, photographs and renders are representative references. Wood, natural veneer, stone, leather and other natural materials inherently vary in grain, colour, texture, porosity, markings and tone. Hand-applied finishes, patinated metals, lacquers and materials from different batches may also show reasonable variations. Such characteristics, where within the approved parameters and normal characteristics of the material, shall not constitute defects.
7.2. Minor dimensional or finish variations inherent in handcrafted manufacturing and the materials used are acceptable within the tolerances indicated in the approved drawings or, where no tolerances are specified, within technically reasonable and customary tolerances for the nature of the product.
7.3. Client-supplied materials — including fabrics (COM), leathers (COL), hardware, electrical components, stone or other materials — must arrive properly identified, in sufficient quantity, in good condition and compliant with the technical and regulatory requirements applicable to the project. CRAFT may refuse materials it considers unsuitable or unsafe.
7.4. The Client assumes the risks of defects, incompatibilities, variations, delays or insufficiency in materials supplied by the Client. Fabric/leather consumption figures are estimates and may increase depending on usable width, pattern repeat, pattern direction, defects, seams or hide selection.
7.5. Third-party components, mechanisms, electrical equipment and other elements are subject to the specifications and warranties of their respective manufacturers, unless CRAFT has expressly assumed an additional obligation in writing.

8. Production lead times and delays
8.1. For routine orders, CRAFT indicates an approximate lead time of 8 to 10 weeks as a commercial reference. As production is bespoke, the binding lead time for each Order shall be the period stated in the proposal/order confirmation.
8.2. Unless a fixed guaranteed date is expressly stated, lead times and delivery dates are good-faith estimates and depend on complexity, approvals, material availability and production capacity.
8.3. The production lead time shall begin on the Production Release Date, namely when all the conditions set out in clause 5.3 have been fully satisfied.
8.4. Delays by the Client in payments, approvals, provision of materials, information, site access or decisions shall automatically extend the schedule by the period of delay and by any additional time reasonably required to reschedule teams, machinery and suppliers.
8.5. CRAFT shall notify the Client of any material delays of which it becomes aware and shall use reasonable efforts to minimise them. Delays by suppliers or carriers, or events outside CRAFT’s reasonable control, shall be dealt with under the force majeure clause and shall not automatically give rise to penalties, back-charges or any right to compensation.

9. Delivery, Incoterms, risk and transport
9.1. Unless otherwise stated in the proposal, deliveries are EXW — CRAFT’s premises in Carvalhosa, Paços de Ferreira, Portugal — Incoterms 2020.
9.2. Under EXW terms, the Client arranges and bears the costs of collection, loading, transport, insurance, customs formalities and final delivery, and risk passes in accordance with the applicable Incoterm when the Goods are placed at the Client’s disposal at the agreed location.
9.3. At the Client’s request, CRAFT may provide a separate quotation for transport. Where transport is performed by an external carrier, the carrier’s terms, insurance, liability limits and claims procedure shall apply to the extent agreed for that shipment. CRAFT does not guarantee schedules or transit times of third parties outside its direct control.
9.4. Any delivery term other than EXW — including FCA, DAP, DDP or otherwise — must be expressly stated in the proposal/order confirmation, identifying the agreed place and the applicable version of the Incoterms.
9.5. The Client must ensure that the consignee inspects the packaging upon delivery and records on the CMR/POD any visible damage, punctured, crushed or wet packaging, or any other irregularity, before signing without reservations. Photographic evidence must be taken before unpacking whenever apparent damage exists.
9.6. For deliveries to another Member State of the European Union, the Client must provide, prior to collection, a VAT identification number valid in the VIES system and, by the 10th day of the month following delivery, the written statement and evidence of transport required by Article 45a of Council Implementing Regulation (EU) No 282/2011. For deliveries to third countries, the Client must provide proof of export. If such evidence is not provided within the stated time limits, CRAFT shall charge Portuguese VAT, which the Client shall be required to reimburse, together with any interest and charges incurred by CRAFT.

10. Storage following completion
10.1. When the Order is complete and ready for collection/dispatch, CRAFT shall notify the Client in writing. Unless a different specific condition applies, CRAFT shall provide up to 30 calendar days of free storage from the date of that notice.
10.2. From the 31st day, a storage charge of EUR 2.00 per m² of floor area actually occupied by the packaged Goods, per calendar day, plus VAT, shall apply, subject to a minimum of EUR 50.00 per week or part thereof, per Order.
10.3. The charge shall accrue up to and including the actual date of collection or dispatch and must be paid in full, together with all other due amounts, before the Goods are released or loaded.
10.4. Extraordinary costs of handling, repacking, additional protection, internal relocation or external storage requested or made necessary by prolonged delay on the part of the Client may be invoiced separately upon justification.
10.5. During any storage period following the date on which the Goods should have been collected, CRAFT shall exercise reasonable care in safeguarding them, but risk shall pass in accordance with the applicable Incoterm and the legal rules governing the Client’s delay in taking delivery.

11. Installation and site conditions
11.1. Installation is included only where expressly identified and priced in the proposal. Its scope, team, duration and excluded works shall be defined on a project-by-project basis.
11.2. The Client must provide, at its own cost and before mobilisation: free and safe access; permits, authorisations and credentials; health and safety conditions; authorised working hours; parking and unloading areas; lifts, hoists, cranes, scaffolding or special lifting equipment where required; power, lighting and suitable working conditions; and coordination with other parties on site.
11.3. The Client must confirm in advance the dimensions of doors, corridors, stairs, lifts and all other access routes. Costs arising from inadequate access, an unready site, waiting time, additional visits, remobilisation, night work or last-minute changes may be invoiced additionally.
11.4. CRAFT shall not be liable for concealed structures, unidentified electrical/plumbing installations, walls or floors lacking adequate strength, unevenness, moisture, building movement, work by other trades or changes to the works that are not reasonably detectable or have been incorrectly communicated.
11.5. Where CRAFT carries out the installation, it shall be liable for direct damage demonstrably caused by fault of its team within the scope of the contracted works, subject to the legally permissible limitations of liability set out in these Terms.

12. Inspection, acceptance and claims
12.1. The Client must inspect the Goods as soon as reasonably possible after receipt and, where installation is carried out, participate in the final inspection or appoint a representative with authority to do so.
12.2. Shortages, transport damage or immediately visible defects must be notified to CRAFT in writing no later than 48 hours after receipt, accompanied by photographs of the product, packaging and transport document. This time limit is intended, in particular, to preserve rights against carriers and insurers.
12.3. Other apparent non-conformities identified after unpacking must be notified in writing within 7 calendar days. Latent defects covered by the contractual warranty must be notified within 10 business days after discovery and within the applicable warranty period.
12.4. The notice must identify the Order, item reference, objective description of the issue, photographs/video and, where requested, make the item available for inspection. The Client must not have the item repaired, dismantled or modified by third parties before CRAFT has had a reasonable opportunity to inspect it and propose a solution, except for urgent measures strictly necessary for safety or to prevent further damage.
12.5. Minor outstanding items or snagging that do not prevent substantial use of the overall supply shall not justify rejection of the entire Order or withholding payment in respect of conforming Goods.

13. B2B commercial warranty
13.1. Unless a different period is expressly agreed in the proposal, CRAFT grants a 12-month commercial warranty from delivery of the Goods or, where installation is carried out by CRAFT, from completion of that installation, against proven defects in materials applied by CRAFT and in manufacturing/workmanship under normal conditions of use.
13.2. The warranty does not cover: normal wear and tear; transport damage after transfer of risk; misuse, abuse, overloading or accident; inadequate maintenance; corrosive or abrasive cleaning products; exposure to moisture, water, heat, sunlight, saline environments or unsuitable conditions; unauthorised alterations or repairs; installation by third parties; materials or specifications supplied by the Client; defects resulting from information or design supplied by the Client; or natural characteristics and permitted variations described in clause 7.
13.3. Third-party components shall, as to duration and scope, be limited to the warranty actually provided by the relevant manufacturer, without prejudice to any additional obligations expressly assumed by CRAFT.
13.4. CRAFT will review all claims submitted by the Client; however, as an essential condition for the Client to benefit from the warranty, the Client must not be in default in respect of due and undisputed amounts and must have complied with the applicable use and maintenance instructions.

14. Assessment of defects and remedies
14.1. Upon receipt of a properly documented claim, CRAFT shall have the right to inspect, test and determine the cause of the alleged non-conformity before any third-party intervention is carried out at CRAFT’s expense.
14.2. Where a defect attributable to CRAFT and covered by the warranty is confirmed, CRAFT may, having regard to the nature and proportionality of the case, elect to repair, rework or replace the affected part/item. Where such solutions are technically impossible or manifestly disproportionate, the parties may agree an appropriate price reduction or credit.
14.3. Replacement of an entire Order, refund of the price or unilateral engagement of third parties at CRAFT’s expense are not automatic remedies and depend on the applicable legal requirements or written agreement.
14.4. Where reasonable, CRAFT may require return of the defective part or access to the site for repair. Costs of dismantling, removal, access and reinstallation shall be allocated according to the confirmed cause of the issue and the scope originally contracted.

15. Limitation of liability
15.1. Subject to clause 15.3, CRAFT’s aggregate contractual liability for breach, delay or defective performance in relation to an Order shall be limited to the net price, exclusive of VAT, of the Goods or services directly affected by the event giving rise to the claim.
15.2. Subject to clause 15.3, CRAFT shall not be liable for indirect or consequential loss, loss of profit, revenue, use, hotel occupancy, production, opportunity, reputation or financing, nor for fines, penalties, liquidated damages or compensation assumed by the Client towards third parties without CRAFT’s express written acceptance.
15.3. The limitations and exclusions of liability set out in this clause and elsewhere in these Terms shall not apply: (i) in cases of wilful misconduct or gross negligence by CRAFT, its representatives or assistants; (ii) to damage to life, physical integrity or health; (iii) to CRAFT’s non-contractual liability; or (iv) to any other liability that cannot lawfully be excluded or limited.

16. Intellectual property, Client designs and technical development
16.1. Pre-existing intellectual property rights of the Client or third parties in concepts, designs, drawings, trademarks and other materials supplied to CRAFT shall remain the property of their respective owners. CRAFT does not acquire the Client’s artistic or conceptual design merely by technically developing it for production.
16.2. The Client represents that it owns, or is duly authorised to use and have manufactured, the drawings, trademarks, images, models and specifications supplied to CRAFT. The Client shall be responsible for third-party claims arising from the reproduction of elements supplied or required by the Client, except where the infringement results from an alteration independently introduced by CRAFT.
16.3. Unless otherwise agreed in writing, CRAFT’s pre-existing know-how and the technical development created by CRAFT to make the product manufacturable shall remain CRAFT’s intellectual property, including construction solutions, manufacturing engineering details, shop drawings, production CAD/CAM, methods, jigs, tools, specially developed hardware and production processes, without prejudice to the Client’s rights in the underlying design.
16.4. The Client is granted a non-exclusive licence to use CRAFT’s technical drawings for the installation, use and maintenance of the specific Order. Use of those drawings to have the Goods reproduced by third parties, or transfer of production files for that purpose, requires CRAFT’s written authorisation unless the proposal expressly provides for an assignment of those rights.
16.5. If the Client wishes to acquire intellectual property rights, editable files, moulds, tools or specific technical development, this shall be subject to a separate agreement and price.

17. Confidentiality, photographs and portfolio
17.1. Each party shall treat as confidential the other party’s technical and commercial information identified as confidential or which, by its nature, should reasonably be treated as confidential.
17.2. Unless there is an NDA, express confidentiality obligation or written request from the Client communicated before disclosure, CRAFT may photograph the Goods during production and, where it has authorised access, after installation, and may use images of the completed products on its website, portfolio, social media, at trade fairs and in corporate materials.
17.3. CRAFT shall not disclose, without authorisation, commercially sensitive information, confidential drawings, prices, unnecessary personal data, or the identity/location of private projects where such information is not already public.
17.4. Each party shall process the personal data of the other party’s representatives and employees solely for the purposes of performing the Order and complying with legal obligations, in accordance with Regulation (EU) 2016/679.

18. Standards, certifications and destination requirements
18.1. Before quotation, the Client must notify CRAFT of all mandatory or contractual requirements applicable in the country/place of destination, including fire-resistance standards, contract/hospitality standards, accessibility, electrical requirements, loads, testing, certifications, technical data sheets or compliance documentation.
18.2. CRAFT assumes compliance only with specific requirements that have been identified and accepted in writing in the proposal. Laboratory testing, certifications, additional samples, approval mock-ups or adaptations subsequently required may involve additional costs and time.
18.3. Where the Client specifies third-party materials, hardware or components, the Client is responsible for confirming their suitability for the project requirements, unless compliance verification has been expressly contracted to CRAFT.
18.4. The Client represents that neither it nor the final recipient of the Goods is subject to restrictive measures or sanctions imposed by the European Union, the United Nations or any other applicable jurisdiction, and that the Goods will not be re-exported in breach of such measures. CRAFT may suspend or terminate the Order without liability if its performance would involve a breach of such measures.

19. Force majeure and circumstances beyond reasonable control
19.1. Neither party shall be liable for delay or failure to perform caused by an event beyond its control, including fire, flood, natural disaster, war, civil disturbance, embargo, act of authority, epidemic, general or sectoral strike, widespread power failure, exceptional unavailability of raw materials, or material disruption of supply chains or international transport.
19.2. The affected party must notify the event as soon as reasonably possible and take reasonable steps to mitigate its effects. Affected time periods shall be extended for the duration of the impediment and for a reasonable period for remobilisation/rescheduling.
19.3. If the impediment continues for more than 90 days and renders the unperformed part of the Order objectively unviable, the parties shall negotiate in good faith its adaptation or partial termination, while amounts for work performed, materials purchased and non-recoverable commitments incurred up to that date shall remain due.

20. Back-charges, retentions, third-party work and set-off
20.1. The Client must give CRAFT a reasonable opportunity to inspect and remedy any alleged defect before engaging third-party repairs or issuing back-charges, except in a duly documented urgent safety situation or where necessary to prevent substantial damage.
20.2. Back-charges, third-party costs, site penalties or retentions not expressly provided for in CRAFT’s proposal may not be unilaterally passed on to CRAFT merely because they are contained in the Client’s contract with third parties.
20.3. Any set-off of claims or withholding of payments remains subject to applicable legal rules and must be limited to liquid, due and payable amounts reasonably related to the event concerned.

21. Governing law, CISG and jurisdiction
21.1. Orders and these Terms shall be governed by Portuguese law.
21.2. Unless otherwise agreed in writing, application of the United Nations Convention on Contracts for the International Sale of Goods (CISG/Vienna Convention 1980) is expressly excluded.
21.3. For the resolution of any disputes arising out of the Order or these Terms, the parties submit to the exclusive jurisdiction of the Judicial Court of the District of Porto Este (Tribunal Judicial da Comarca do Porto Este), expressly waiving any other jurisdiction, without prejudice to rules of subject-matter jurisdiction and to clause 21.4.
21.4. Where the Client has its registered office outside the European Union, the disputes referred to in clause 21.3 shall be finally resolved by arbitration under the Arbitration Rules of the Commercial Arbitration Centre of the Portuguese Chamber of Commerce and Industry (Centro de Arbitragem Comercial da Câmara de Comércio e Indústria Portuguesa), by a sole arbitrator, with the seat of arbitration in Porto and the language of the proceedings being Portuguese or English, according to the language of the proposal.

22. Final provisions
22.1. Any specific amendment to these Terms must be set out in a written document accepted by both parties. A party’s occasional tolerance of a breach shall not constitute a waiver of its future rights.
22.2. If any provision is held invalid or unenforceable, the remaining provisions shall remain in force, and the affected provision shall, to the extent legally possible, be replaced by a valid provision that most closely reflects its economic and legal purpose.
22.3. Communications relating to approvals, changes, claims and cancellations must be made in writing to the contacts stated in the proposal/order confirmation. CRAFT’s general contact is info@craftdp.com, unless a specific project manager is identified.
22.4. The version of the Terms applicable to each Order shall be the version provided to the Client as an attachment to the proposal accepted by the Client. Subsequent amendments published on the website shall not retroactively alter Orders already entered into.
22.5. Where versions exist in several languages, the Portuguese version shall prevail for purposes of legal interpretation, unless expressly agreed otherwise.
22.6. CRAFT may subcontract part of the performance of the Order while remaining responsible to the Client for its performance. The Client may not assign its contractual position without CRAFT’s written consent.
